1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the Parcoda website, mobile applications, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
2. Eligibility
You must be at least 18 years old or the age of majority in your jurisdiction to use the Services.
By using the Services, you represent and warrant that you have the legal authority to enter into these Terms.
3. Accounts
Certain features of the Services may require you to create an account.
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Providing accurate and current information
You agree to notify us promptly if you become aware of any unauthorized access to or use of your account.
4. Your Content
You retain ownership of all information, documents, photographs, records, and other content that you upload, submit, or store through the Services ("User Content").
You grant Parcoda a limited, non-exclusive, worldwide license to host, store, process, transmit, and display User Content solely for the purpose of providing, maintaining, securing, and improving the Services.
You represent and warrant that you have all rights necessary to upload and use your User Content.
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Upload malicious software, viruses, or harmful code
- Attempt to gain unauthorized access to the Services or related systems
- Interfere with the security, integrity, or operation of the Services
- Infringe upon the intellectual property or other rights of any person or entity
- Use the Services in a manner that could damage, disable, or impair the Services
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Service Availability
We strive to provide reliable Services but do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.
We may modify, suspend, or discontinue any part of the Services at any time without liability.
7. Data Backup
While we maintain reasonable safeguards for information stored through the Services, you are responsible for maintaining your own copies of important records, documents, and information.
Parcoda does not guarantee that any content will be available, recoverable, or free from loss.
8. Intellectual Property
The Services, including all software, designs, trademarks, logos, text, graphics, and other content provided by Parcoda, are owned by Parcoda or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, reverse engineer, create derivative works from, or otherwise use the Services without prior written permission.
9. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect information.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARCODA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
Parcoda does not warrant that the Services will meet your requirements or operate without interruption or error.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARCODA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT SHALL PARCODA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES EXCEED THE GREATER OF:
(a) THE AMOUNT PAID BY YOU TO PARCODA DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
(b) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
12. Indemnification
You agree to indemnify and hold harmless Parcoda, its officers, directors, employees, contractors, affiliates, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising from:
- Your use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of any law or third-party rights
13. Account Cancellation and Termination
You may stop using the Services and cancel your account at any time.
We may suspend or terminate your access to the Services if we believe you have violated these Terms, if required by law, or if necessary to protect the Services, users, or Parcoda.
Upon termination, your right to access and use the Services will immediately cease.
Information may be retained or deleted in accordance with our Privacy Policy.
14. Changes to These Terms
We may update these Terms from time to time.
Updated Terms will be posted through the Services and will become effective upon posting unless otherwise specified.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
